Velo purchases future receivables from businesses through merchant cash advance transactions. The Site provides information about our services and allows businesses to submit funding applications.

A merchant cash advance is not a loan. It is the purchase of a portion of a business's future receivables at a discount. Nothing on this Site constitutes an offer or commitment to provide funding. All applications are subject to underwriting, verification, and approval in Velo's sole discretion, and any funding is subject to execution of definitive written agreements.

The Site and our services are intended solely for businesses and business purposes, not for personal, family, or household purposes. By using the Site, you represent that you are at least 18 years old, that you are using the Site on behalf of a business, and that you have authority to act for that business.

When you submit an application or other information through the Site, you represent and warrant that all information you provide is true, accurate, and complete, and that you are authorized to provide it. You authorize Velo to verify the information you submit, to obtain reports and information from third parties (including credit reporting agencies, banks, and processors) as described in our Privacy Policy and in your authorizations, and to contact you by email, phone, and text message regarding your application. Submitting an application does not create any obligation on Velo to provide funding.

Content on the Site, including any estimates or illustrations produced by tools such as funding calculators or estimators, is for general informational purposes only. It is not financial, legal, accounting, or tax advice, and it is not a quote, offer, or commitment. Actual funding amounts, pricing, and terms are determined solely through underwriting and set forth in signed agreements. You should consult your own professional advisors before making financial decisions.

You agree not to: (a) use the Site for any unlawful purpose; (b) submit false, misleading, or fraudulent information; (c) impersonate any person or entity or misrepresent your affiliation with any business; (d) interfere with or disrupt the Site, its servers, or its security features; (e) attempt to gain unauthorized access to any systems, accounts, or data; (f) scrape, harvest, or collect data from the Site by automated means; or (g) use the Site to transmit malware or other harmful code.

The Site and all of its content — including the Velo Funding name, the VF logo, text, graphics, designs, and software — are owned by Velo or its licensors and are protected by trademark, copyright, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from Site content without our prior written consent. You are granted a limited, revocable, non-exclusive license to access and use the Site for its intended purpose.

The Site may contain links to third-party websites or services. These are provided for convenience only. Velo does not endorse and is not responsible for the content, products, services, or practices of any third party.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. VELO DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE FULLEST EXTENT PERMITTED BY LAW, VELO AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, VELO'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). THIS SECTION DOES NOT LIMIT ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND DOES NOT APPLY TO THE TERMS OF ANY SIGNED FUNDING AGREEMENT, WHICH CONTAINS ITS OWN PROVISIONS.

You agree to indemnify and hold harmless Velo and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in the State of New York, and you consent to the jurisdiction and venue of those courts. This section applies to Site use only; disputes under signed funding agreements are governed by the dispute resolution provisions of those agreements.

We may modify, suspend, or discontinue the Site (or any part of it) at any time. We may update these Terms from time to time; the updated version will be posted on this page with a revised effective date. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Velo regarding use of the Site. You may not assign these Terms; we may assign them without restriction.
